These Terms of Service (“Terms”) govern your access to and use of the website, software products, SaaS and web applications, IT consulting, digital solutions, and tech support services provided by NEXT SOFTWARE & TECHNOLOGY LIMITED (“we”, “us”, or “our”). By accessing our platform or purchasing from us, you agree to be bound by these Terms.

1. Acceptance of Terms

By creating an account, placing an order, or otherwise using our services, you confirm that you have read, understood, and agree to these Terms and our Privacy Policy. If you do not agree, please do not use our services.

2. Use of the Service

You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account. You agree to use our products and services only for lawful purposes and not to copy, resell, sublicense, or redistribute any software, licence key, digital asset, or deliverable except as expressly permitted by the applicable licence.

3. Orders and Payment

Prices are listed in Nigerian Naira (NGN) and US Dollars (USD). Payments are processed securely by TransactPay, our third-party payment processor; we do not store your full card details. You are responsible for any taxes applicable to your purchase. Orders are confirmed once payment is verified. For services and consulting engagements, the scope, timeline, and fees are as agreed at the point of purchase or in a separate statement of work.

4. Intellectual Property

All software, source code, designs, trademarks, logos, and content on our platform are the property of NEXT SOFTWARE & TECHNOLOGY LIMITED or its licensors and are protected by intellectual property laws. Purchasing a product or service grants you a licence to use the deliverable as specified; it does not transfer ownership of underlying intellectual property unless expressly agreed in writing.

5. Refunds and Cancellations

Refunds and cancellations are governed by our Refund Policy, which forms part of these Terms. Please review it before making a purchase.

6. Limitation of Liability

To the fullest extent permitted by law, NEXT SOFTWARE & TECHNOLOGY LIMITED shall not be liable for any indirect, incidental, special, or consequential damages, or loss of profits or data, arising from your use of our products or services. Our total liability for any claim shall not exceed the amount you paid for the product or service giving rise to the claim.

7. Changes to Terms

We may revise these Terms from time to time. Changes take effect when posted, and the “Last updated” date will reflect the revision. Your continued use of our services after changes are posted constitutes acceptance of the updated Terms.

8. Governing Law and Jurisdiction

These Terms are governed by the laws of the Federal Republic of Nigeria. Any dispute arising out of or relating to these Terms or our services shall be subject to the exclusive jurisdiction of the courts of Lagos State, Nigeria.
